This Service Agreement outlines the terms, responsibilities, and expectations governing services provided by Cronotics Technology (“Cronotics”, “Company”, “we”, “us”) to clients (“Client”, “you”). By engaging Cronotics for any service, project, consultation, or digital execution work, you acknowledge and agree to the terms below.
Cronotics provides services that may include, but are not limited to, branding, web design and development, mobile app development, SaaS and platform systems, product execution, digital marketing, SEO, design support, consulting, and related digital services.
The scope of work for each project will be defined through proposals, written communication, project documents, invoices, quotations, or other mutually accepted records.
All deliverables are based on the agreed scope at the time the project begins. Any request that falls outside the agreed scope may require additional fees, revised milestones, or an updated delivery timeline.
Cronotics reserves the right to determine whether requested changes are considered scope adjustments, revisions, or entirely new work items.
Timelines provided by Cronotics are estimates based on the information available at the time of agreement. Delivery schedules may be affected by project complexity, client response time, delays in content submission, revision rounds, technical dependencies, or changes in scope.
Cronotics is not responsible for missed timelines caused by delayed approvals, incomplete client input, or dependencies outside our direct control.
Projects may require an upfront deposit or milestone-based payment structure before work begins. Unless otherwise agreed in writing, payments are expected according to the invoiced schedule.
Once work has started, payments already made are generally non-refundable because Cronotics allocates time, strategy, design effort, development hours, and operational resources to each project.
Refund requests, if considered at all, are solely at the discretion of Cronotics and will depend on how much work has already been completed.
Revision rounds are limited to what is reasonably covered within the agreed project scope. Excessive revisions, repeated reversals, or major directional changes may be billed separately.
Client approvals on concepts, designs, structures, or content direction are treated as acceptance of that stage of work. Once approved, later changes may require extra cost.
To enable timely and successful project delivery, the Client agrees to:
If a project is delayed for extended periods due to client inactivity, missing content, or repeated lack of response, Cronotics may pause the project until the Client is ready to continue.
Projects that remain inactive for extended periods may require reactivation fees, revised timelines, or updated scope review before work resumes.
Upon full payment of all agreed fees, the Client receives rights to the final approved deliverables specifically created for the project, unless otherwise stated in writing.
Cronotics retains ownership of:
Cronotics also reserves the right to showcase completed work in its portfolio, website, presentations, or marketing materials unless otherwise agreed in writing.
Cronotics will treat non-public client business information with reasonable confidentiality. Likewise, clients agree not to disclose proprietary processes, confidential pricing, or internal development methods shared by Cronotics.
Some projects may depend on third-party tools, hosting platforms, APIs, plugins, payment processors, domain providers, app stores, or infrastructure vendors. Cronotics is not responsible for outages, pricing changes, policies, suspensions, or limitations imposed by such third-party providers.
Cronotics strives to deliver high-quality work, but we do not guarantee specific commercial, financial, marketing, ranking, or traffic-related outcomes unless explicitly agreed as part of a defined performance arrangement.
Project success may be influenced by market conditions, client operations, advertising budgets, business strategy, audience response, and many other external variables beyond our direct control.
To the maximum extent allowed by law, Cronotics shall not be liable for indirect, incidental, special, or consequential damages, including but not limited to lost profits, lost business opportunities, downtime, or reputational impact arising from the use of our services, deliverables, or this website.
Any liability, where applicable, shall be limited to the amount actually paid by the Client for the specific service directly in question.
Either party may terminate a project relationship where necessary. If termination occurs, payments already made remain non-refundable, and the Client may receive any completed work appropriate to the paid stage of the project, subject to Cronotics’ review and discretion.
Cronotics reserves the right to terminate a working relationship if the Client becomes abusive, repeatedly breaches payment terms, creates unreasonable scope demands, or otherwise makes execution impractical.
Cronotics may update this Service Agreement from time to time to reflect operational, legal, or business changes. Updated versions published on the website will replace prior versions unless otherwise stated.
